AMENDMENT TO AGREEMENT
BETWEEN THE COUNTY OF SAN MATEO AND
LABVANTAGE
|

THIS AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________, 20_____, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and LabVantage, hereinafter called "Contractor";
|

|
W I T N E S S E T H:
|
|
|
WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;
|
|
|
WHEREAS, the parties entered into an Agreement with LabVantage for Point of Care Testing (POCT) program oversight and supervision services on January 1, 2008; and
|
|
|
WHEREAS, the parties wish to amend the Agreement to extend its term through December 31, 2008 and to increase the maximum amount expendable thereunder by $64,749.92 to $129,499.92.

|
NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:
|

Section 2. Contract Term, of the Agreement is amended to read as follows:
The term of this Agreement shall be from January 1, 2008 to December 31, 2008 unless terminated earlier by the County.

Section 3. Payments is amended to read as follows:
In consideration of the services rendered in accordance with all terms, conditions and specifications set forth herein and in Exhibit “A”, County shall make payments to Contractor in the manner specified herein and in Exhibit “A”. In the event that the County makes any advance payments, Contractor agrees to refund any amounts in excess of the amounts owed by the County at the time of contract termination. The County reserves the right to withhold payment if the County determines that the quantity or quality of the work performed in unacceptable. In no event shall total payment for services under this agreement exceed ONE HUNDRED TWENTY NINE THOUSAND FOUR HUNDRED NINETY NINE DOLLARS AND NINETY TWO CENTS ($129,499.92).

Original Exhibit “A” is replaced with Revised Exhibit “A”, (rev. 06/25/08) attached hereto and incorporated here in by reference.

All other terms and conditions of the agreement dated January 22, 2008, between the County and Contractor shall remain in full force and effect.
