RESOLUTION WAIVING THE REQUEST FOR PROPOSAL PROCESS, AUTHORIZING THE PRESIDENT OF THE BOARD TO EXECUTE A MAINTENANCE AGREEMENT WITH JOHNSON CONTROLS, INC. TO PROVIDE MAINTENANCE OF THE CARDKEY SECURITY SYSTEM FOR THE TERM SEPTEMBER 9, 2008, THROUGH SEPTEMBER 8, 2009, IN AN AMOUNT NOT TO EXCEED $136,268, AND AUTHORIZING THE CHIEF INFORMATION OFFICER OR HIS DESIGNEE TO EXECUTE CONTRACT AMENDMENTS WHICH MODIFY THE COUNTY’S MAXIMUM FISCAL OBLIGATION BY NO MORE THAN $25,000 (IN AGGREGATE) AND/OR MODIFY THE CONTRACT TERM AND/OR SERVICES SO LONG AS THE MODIFIED TERM OR SERVICES IS/ARE WITHIN THE CURRENT OR REVISED FISCAL PROVISIONS.

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, this Board has determined that it is in the best interest of the County to waive the Request for Proposal process because the cardkey hardware and software being maintained is proprietary to Johnson Controls, Inc.;

WHEREAS, Johnson Controls, Inc. and the County of San Mateo now wish to enter into an Agreement to provide maintenance of the Cardkey Security System for the term September 9, 2008, to September 8, 2009, in an amount not to exceed $136,268;

WHEREAS, this Board has been requested to grant signature authority to the Chief Information Officer or his designee to execute contract amendments which modify the County’s maximum fiscal obligation by no more than $25,000 (in aggregate) and/or modify the Contract term and/or services so long as the modified term or services is/are within the current or revised fiscal provisions; and

WHEREAS, this Board has been presented with a form of an Agreement, said Board has examined and approved same as to both form and content and desires to enter into same.

NOW THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of the Board of Supervisors is authorized and directed to waive the Request for Proposal process and execute said Agreement as is approved by the County Counsel for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President’s signature thereto.

BE IT FURTHER RESOLVED that signature authority is granted to the Chief Information Officer or his designee to execute contract amendments which modify the County’s maximum fiscal obligation by no more than $25,000 (in aggregate) and/or modify the Contract term and/or services so long as the modified term or services is/are within the current or revised fiscal provisions.
