SECOND AMENDMENT TO AGREEMENT

BETWEEN THE COUNTY OF SAN MATEO AND
RICHARD ANDERSON

 

THIS SECOND AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________, 20_____, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and Richard Anderson, hereinafter called "Contractor";

 

W I T N E S S E T H:

 

WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;

 

WHEREAS, the parties entered into an Agreement for consulting assistance for Medicare, Medi-Cal and Federally Qualified Health Center programs services on February 13, 2007; and

 

WHEREAS, the parties amended the Agreement on July 2, 2007, by extending the term to December 31, 2008, and increasing the funding by $50,000 from $50,000 to $100,000; and

 

WHEREAS, the parties wish to further amend the Agreement to extend the term by one year to December 31, 2009; increase funding by $175,000, from $100,000 to $275,000; increase the Contractor’s hourly rate from $125 to $165; and expand the scope to allow Contractor to provide financial consultation regarding Health System Redesign efforts or any other fiscal matters within the Health Department.

 

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

Section 2, Contract Term, of the Agreement is amended to read as follows:

2. Contract Term The term of this Agreement shall be from January 1, 2007, to December 31, 2009, unless terminated earlier by the County.

Section 3, Payments, of the Agreement is amended to read as follows:

Payments In consideration of the services rendered in accordance with all terms, conditions and specifications set forth herein and in Exhibit “A”, County shall make payment to Contractor in the manner specified herein and in Exhibit “A”. In the event that the County makes any advance payments, Contractor agrees to refund any amounts in excess of the amount owed by the County at the time of contract termination. The County reserves the right to withhold payment if the County determines that the quantity or quality of the work performed is unacceptable. In no event shall total payment for services under this Agreement exceed TWO HUNDRED SEVENTY FIVE THOUSAND DOLLARS ($275,000).

Paragraph F of Section I, Description of Services to be Performed by the Contractor, of Exhibit “A” of the Agreement is amended to read as follows:

   
 

F. Special projects as required by the Manager of Revenue and Reimbursement as well as the Director of the Health Department.

Paragraph B of Section II, Amount and Method of Payment, of Exhibit “A” of the Agreement is amended to read as follows:

A. For the period from January 1, 2007, to the date of execution of the second amendment to the Agreement, County will pay Contractor at a rate of $125 per hour. Thereafter County will pay Contractor at a rate of $165 per hour. Contractor will invoice County monthly.

B. The term of this Agreement is January 1, 2007, to December 31, 2009. Total payments for services performed under this Agreement shall not exceed TWO HUNDRED SEVENTY FIVE THOUSAND DOLLARS ($275,000). Invoices shall be approved by the Manager of Revenue and Reimbursement and paid within 30 days of receipt of invoice.

All other terms and conditions of the agreement dated February 13, 2007, between the County and Contractor shall remain in full force and effect.
