Amendment to the Agreement with Cureline BioPathology, LLC

 

RECOMMENDATION:

Adopt a resolution authorizing the President of the Board to execute an Amendment to the Agreement with Cureline BioPathology LLC to provide anatomic pathology slide preparation and histology services for surgical and biopsy procedures performed at San Mateo Medical Center extending the term by five months to December 31, 2008 and increasing the maximum amount by $75,000 to $195,500.

BACKGROUND:

The County entered into an agreement with Biopathology Sciences Medical Corporation, Inc. on November 6, 2007 to provide anatomic slide preparation and all histology services for surgical and biopsy procedures performed at San Mateo Medical Center (SMMC). On December 27, 2007, the Contractor informed SMMC that it had assumed all the obligations, liabilities and responsibilities of Biopathology Sciences Medical Corporation, Inc. The Agreement was assigned to Cureline Biopathology, LLC (Cureline) on April 6, 2008 pursuant to Board Resolution #069352.

 

DISCUSSION:

The Blue Ribbon Task Force is working with several hospitals and service providers on an Agreement to provide SMMC with various services including the type provided by Cureline.


A Request for Proposals (RFP) was published on May 12, 2007 for providers of laboratory services. Of those submitting proposals, Cureline was the only provider able to meet all of the requirements of the RFP.

The term of the Agreement with Cureline is being extended and amount increased to ensure uninterrupted laboratory services until the Blue Ribbon Task Force has completed its negotiations. At that time, all requests for laboratory services will be sent to the provider contracting with the County via the Blue Ribbon Task Force Agreements.

County Counsel has reviewed and approved this Amendment.

The contractor has assured compliance with the County's Contractor Employee Jury Service Ordinance, as well as all other contract provisions that are required by County ordinance and administrative memoranda, including but not limited to insurance, hold harmless, non-discrimination and equal benefits.

 

FISCAL IMPACT:

The term of this Agreement is November 6, 2007 through December 31, 2008. The maximum amount of the Agreement is $195,500 or $97,750 per year.. Funds are included in San Mateo Medical Center’s FY2008-09 Adopted Budget.
