RESOLUTION AUTHORIZING THE PRESIDENT OF THE BOARD TO EXECUTE A SECOND AMENDMENT TO THE AGREEMENT WITH HFS CONSULTANTS (HFS)TO PROVIDE CONSULTING AND MANAGEMENT SERVICES FOR PHYSICIAN AND PAYOR CONTRACTING AT SAN MATEO MEDICAL CENTER(SMMC); EXTENDING THE TERM OF THE AGREEMENT BY ONE YEAR TO SEPTEMBER 30, 2009; INCREASING THE MAXIMUM AMOUNT PAYABLE THEREUNDER BY $360,000 FROM $400,000 TO A TOTAL AMOUNT PAYABLE NOT TO EXCEED $760,000

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, on September 11, 2007, the Board of Supervisors authorized, by Resolution 068996, an agreement with HFS for the term August 1, 2007 to April 1, 2008 pursuant to which the Contractor agreed to provide consulting and management services for physician and payor contracting at SMMC; and

WHEREAS, on May 20, 2008, the Board of Supervisors authorized, by Resolution 069442, an amendment to the Agreement with HFS, which extended the term of the agreement by five months to September 30, 2008, and increased the maximum amount payable by thereunder $200,000, from $200,000 to a total amount payable not to exceed $400,000; and

WHEREAS, this Board deems it appropriate to further amend the Agreement by extending the term by one year to September 30, 2009, and increasing the maximum amount payable thereunder by $360,000, from $400,000 to a total amount payable not to exceed $760,000; and

WHEREAS, there has been presented to this Board of Supervisors for its consideration and approval the second amendment to the Agreement, reference to which is hereby made for further particulars, whereby HFS will continue to provide consulting and management services for physician and payor contracting at SMMC; and

WHEREAS, the Board of Supervisors has considered the second amendment to the Agreement and approved the same as to both form and content and desires to enter into it.

NOW, THEREFORE, IT IS HEREBY RESOLVED that the President of the Board of Supervisors be, and is hereby authorized and directed to execute said second amendment to the Agreement for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President’s signature thereto.
