FOURTH AMENDMENT TO AGREEMENT

BETWEEN THE COUNTY OF SAN MATEO AND
WILLIAMS SCOTSMAN, INC.

THIS AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________, 2008, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and Williams Scotsman, Inc. hereinafter called "Contractor";

W I T N E S S E T H:

WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of services such as those provided by Contractor, to or for County or any Department thereof;

WHEREAS, the parties entered into an Agreement for the lease of two portable modular office buildings on December 26, 2000; and

WHEREAS, on May 25, 2004, an amendment to the Agreement was approved that increased the maximum amount payable thereunder by $43,573.50 to $97,009 and extended the term of the Agreement to January 29, 2007; and

WHEREAS, on August 7, 2007, an amendment to the Agreement was approved that increased the maximum amount payable thereunder by $16,000 to $113,009 and extended the term of the Agreement to December 31, 2007; and

WHEREAS, on June 17, 2008, an amendment to the Agreement was approved to increase the maximum amount payable thereunder by $11,481 to $124,490 and extended the term of the Agreement to June 30, 2008; and

WHEREAS, the parties wish to further amend the Agreement to extend its term to June 30, 2009 and to increase the maximum amount payable thereunder by $23,462 to $147,952.

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

Paragraph 5 of the Williams Scotsman, Inc. General Terms and Conditions is hereby amended in its entirety to read as follows:

5. Terms of Lease; Extension – The term of this Agreement begins on the date of delivery of the Equipment, and ends on June 30, 2009. The maximum amount payable by the County pursuant to this Agreement is $147,952

All other terms and conditions of the agreement dated December 26, 2000,

Including any subsequent Amendments, between the County and Contractor shall remain in full force and effect.
