Fourth Amendment to the Agreement with Williams Scotsman, Inc.

 

RECOMMENDATION:

Adopt a resolution authorizing the President of the Board to execute a Fourth Amendment to the Agreement with Williams Scotsman, Inc. for the lease of two portable modular buildings, increasing the maximum amount payable thereunder by $23,462 to $147,952 and extending the term by one year to June 30, 2009

This Agreement contributes to this commitment and goal by providing facilities for clinical research.

 

BACKGROUND:

On December 26, 2000, the Purchasing Agent approved an agreement with Williams Scotsman, Inc. to lease two portable modular buildings located at 225 West 37th Avenue in San Mateo. The original term of the lease was for 36 months for total lease payments of $54,435. The lease payments included delivery, installation, building tie-downs, and skirting. Initially these two building housed two programs, the Medical Marijuana Program (MMJ) and the Health Information Technology Program (HIT) training site.

On May 25, 2004, a First Amendment was approved by the Purchasing Agent to increase the maximum amount payable under the Agreement by $43,573.50 to a maximum amount payable of $97,009, and to extend the term of the Agreement to January 29, 2007.

Your Board approved two more Amendments after the first Amendment, which extended the term of the agreement to June 30, 2008, and increased the maximum amount of reimbursement $124,490.

The Clinical Trials and Research Program is presently housed in both of the modular buildings.

 

DISCUSSION:

It is the intent of San Mateo Medical Center (SMMC) Administration to bring the clinical trials program, currently housed in the Modular buildings, into space in the Medical Center.

Delay in submitting this Amendment is due to unsuccessful efforts by SMMC Administration to find space within SMMC that will accommodate the Clinical Trials and Research Program. SMMC Administration continues to analyze space needs within SMMC and the practicability of housing the clinical trials program within SMMC. It is in the best interest of all parties that the new location be carefully selected to avoid multiple moves within the Medical Center. Moreover, the Materials Management Director is aggressively negotiating with modular unit vendors to evaluate the cost effectiveness of purchasing of new units to replace the existing leased units. It is necessary to extend the term of the Agreement by one year to June 30, 2009, and to increase the amount payable by $23,462 for a total maximum amount payable of $147,952.

This item was reviewed by the Health System Redesign Initiative Team and aligns with the first-year implementation plan approved by the Board of Supervisors on March 25, 2008.

County Counsel has reviewed and approved this amendment. The contractor has assured compliance with the County's Contractor Employee Jury Service Ordinance, as well as all other contract provisions that are required by County ordinance and administrative memoranda, including but not limited to insurance, hold harmless, non-discrimination, and equal benefits requirements.

 

FISCAL IMPACT:

The Amendment increases the maximum amount payable under the Agreement by $23,462, from $124,490 to $147,952. The Amendment also extends the term by one year for a new term of December 26, 2000 to June 30, 2009. Funds are included in SMMC’s FY2008-09 Adopted Budget.
