RESOLUTION A) AUTHORIZING THE EXECUTION OF AN AMENDMENT TO THE AGREEMENT WITH INTERMOUNTAIN HEALTHCARE TO AUTHORIZE ITS NAME CHANGE TO AMERINET, INC. AND TO EXTEND THE TERM OF THE AGREEMENT BY TWO YEARS TO DECEMBER 31, 2010; B) AUTHORIZING THE PURCHASING AGENT TO ENTER INTO PURCHASE ORDERS, VENDOR AGREEMENTS, LEASE- PURCHASE AGREEMENTS, LEASE AGREEMENTS, AND RENTAL AGREEMENTS FOR SAN MATEO COUNTY FOR SUPPLIES, SERVICES AND EQUIPMENT WITH VENDORS THROUGH AMERINET, INC. ; AND C) WAIVING THE REQUEST FOR PROPOSAL (RFP) PROCESS

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, On April 4, 2006, your Board authorized an Agreement with Intermountain Health Care to provide access to Amerinet, Inc., a group purchasing service, for the term January 1, 2006 to December 31, 2008; and

WHEREAS, the group-purchasing program has provided services to the Health Services Department for more than 13 years; and

WHEREAS, through this program, the county has been able to purchase services, supplies and equipment from approximately 500 vendors at discounted rates; and

WHEREAS, Intermountain Healthcare has changed it’s name to Intermountain Amerinet and finally to Amerinet; and

WHEREAS, a two year-extension to the Agreement is being requested to allow the time needed to ascertain the merits of using the program to its full advantage with regards services and/or commodities required by San Mateo County.; and

WHEREAS, a waiver of the RFP Process is being requested because conducting a RFP Process at this time will have an adverse effect on existing pricing through San Mateo Medical Center and other participating departments.; and

WHEREAS, there has been presented to the Board of Supervisors for its consideration and acceptance an Amendment to an Agreement, reference to which is hereby made for further particulars, whereby Amerinet, Inc will provide a group-purchasing program for the period January 1, 2006 through December 31, 2010; and

WHEREAS, the Board has considered the Amendment to the Agreement and approved it as to both form and content and desires to enter into it.

NOW THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of the Board of Supervisors be, and is hereby authorized and directed to waive the RFP process and to execute said Amendment to the Agreement for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President's signatures thereto.

NOW THEREFORE, IT IS FURTHER DETERMINED AND ORDERED that the Purchasing Agent is authorized to enter into Purchase Orders, Vendor Agreements, Lease-Purchase Agreements, Lease Agreements, and Rental Agreements for San Mateo County for supplies, services and equipment with vendors through Amerinet, Inc.

BE IT FURTHER RESOLVED that the RFP Process is waived for all purposes pursuant to the Agreement with Amerinet
