FIRST AMENDMENT AGREEMENT BETWEEN THE COUNTY OF SAN MATEO AND AUDREY SEYMOUR RAMBERG


THIS FIRST AMENDMENT, entered into this 10th day of February, 2009, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and Audrey Seymour Ramberg, hereinafter called "Contractor";

W I T N E S S E T H:

WHEREAS, on April 14, 2008, the parties hereto entered into agreement (hereinafter referred to as the “Original Agreement”) for management consulting and support services for the term of June 16, 2008 to July 1, 2009, in the amount not to exceed $100,000; and

WHEREAS, it is now the mutual desire and intent of the parties hereto to amend and modify the Original Agreement;


NOW, THEREFORE, IT IS HEREBY AGREED between the parties that the Original Agreement is amended and modified as follows:

1.	Section 2, Contract Term, of the Original Agreement is hereby amended to read as follows:
The term of this Agreement shall be from June 16, 2008 to June 30, 2010 unless terminated earlier in accordance with paragraph 10 of this Agreement.

2.	Section 3, Payments, of the Original Agreement is hereby amended to read as follows:
In consideration of the services rendered in accordance with all terms, conditions and specifications set forth herein and in Exhibit “A”, County shall make payment to Contractor in the manner specified herein and in Exhibit “A”. In the event that the County makes any advance payments, Contractor agrees to refund any amounts in excess of the amount owed by the County at the time of contract termination. The County reserves the right to withhold payment if the County determines that the quantity or quality of the work performed is unacceptable. In no event shall total payment for services under this Agreement exceed two hundred ninety two thousand dollars, [$292,000].

3.	All other terms and conditions of the agreement dated April 14, 2008, including any subsequent amendments to this agreement between the County and Contractor, shall remain in full force and effect.
