BOARD OF SUPERVISORS, COUNTY OF SAN MATEO, STATE OF CALIFORNIA

RESOLUTION AUTHORIZING THE COUNTY MANAGER OR THE MANAGER’S DESIGNEE TO (1) EXECUTE AN AMENDMENT TO THE PURCHASE AND SALE AGREEMENT WITH TUSCAN TOWER, LLC, EXTENDING THE TIME WITHIN WHICH TUSCAN TOWER MUST MEET CERTAIN CONDITIONS, AND (2) EXECUTE AND RECORD DOCUMENTS, NOTICES, AND ACKNOWLEDGEMENTS IN CONNECTION WITH THE AMENDMENT

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, on November 15, 2005 the Board of Supervisors authorized execution of a Purchase and Sale Agreement with Tuscan Tower, LLC, whereby the County transferred ownership of a road remnant in exchange for closing costs and Tuscan Tower’s agreement to meet certain conditions within specified time periods; and

WHEREAS, Tuscan Tower has requested, and the County of San Mateo agrees to extend the time within which Tuscan Tower must meet those conditions in order to avoid the reversion of the property to the County of San Mateo;

WHEREAS, there has been presented to this Board of Supervisors for its consideration and acceptance an Amendment to the Agreement, reference to which is hereby made for further particulars, whereby Tuscan Tower is given an additional two years to meet those conditions, with an option to extend if reasonable progress is being made; and

WHEREAS, the Board of Supervisors has examined and approved the Amendment to the Agreement as to form and content and desires to enter into same:

NOW THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the County Manager or the Manager’s designee is hereby authorized and directed to (1) execute said Amendment to the Agreement for and on behalf of the County of San Mateo, and to (2) execute and record documents, notices, and acknowledgements in connection with the amendment.
