    RESOLUTION 1) AUTHORIZING THE PRESIDENT OF THE BOARD TO EXECUTE AMENDMENT NO. 1 TO THE AGREEMENT WITH ECLINICALWORKS TO INCREASE THE NUMBER OF LICENSES UNDER THE AGREEMENT, THEREBY INCREASING THE CONTRACT AMOUNT BY UP TO $700,000 FOR A NEW TOTAL MAXIMUM OBLIGATION OF $2,500,000; AND 2) AUTHORIZING THE CHIEF INFORMATION OFFICER OR HIS DESIGNEE TO EXECUTE CONTRACT AMENDMENTS WHICH MODIFY THE AGREEMENT’S TERMS AND/OR THE SERVICES PROVIDED UNDER THE AGREEMENT SO LONG AS MODIFIED AGREEMENT REMAINS WITHIN THE AGREEMENT’S FISCAL PROVISIONS, INCLUDING THE NOT-TO-EXCEED AMOUNT

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, on January 8, 2008, the County of San Mateo entered into an Agreement in an amount of $1,800,000 for the term of seven (7) years, commencing upon the date of the Board of Supervisors’ approval, with eClinicalWorks to install and maintain an Ambulatory Electronic Medical Record (AEMR) system at San Mateo Medical Center (SMMC);

WHEREAS, this Board having considered the matter has determined that it would be in the best interest of the County to approve Amendment No. 1 to the Agreement with eClinicalWorks to increase the contract amount by up to $700,000, for a new total fiscal obligation not to exceed $2,500,000, and making other changes to the Agreement to expand the ability to obtain licenses for additional users under the Agreement;

WHEREAS, this Board has been requested to grant signature authority to the Chief Information Officer or his designee to execute contract amendments which modify the Agreement’s terms and/or the services provided under the Agreement so long as the modified Agreement remains within the Agreement’s fiscal provisions, including the not-to-exceed amount; and

WHEREAS, this Board has been presented with a form of Amendment No. 1, has examined and approved it as to both form and content, and desires to enter into same.

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of this Board of Supervisors be and is hereby authorized and directed to execute said Amendment No. 1 to this Agreement for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President’s signature thereto.

BE IT FURTHER RESOLVED that signature authority is granted to the Chief Information Officer or his designee to execute contract amendments which modify the Agreement’s terms and/or the services provided under the Agreement so long as the modified Agreement remains within the Agreement’s fiscal provisions, including the not-to-exceed amount.
