BOARD OF SUPERVISORS, COUNTY OF SAN MATEO, STATE OF CALIFORNIA

RESOLUTION 1) WAIVING THE REQUEST FOR PROPOSALS PROCESS; AND 2) AUTHORIZING THE PRESIDENT OF THE BOARD TO EXECUTE AN AGREEMENT WITH HISTO-TEC LABORATORY TO PROVIDE ANATOMIC PATHOLOGY SLIDE PREPARATION AND ALL HISTOLOGY SERVICES FOR SURGICAL AND BIOPSY PROCEDURES PERFORMED AT SAN MATEO MEDICAL CENTER AND AFFILIATED CLINICS FOR THE TERM JANUARY 1, 2009 THROUGH DECEMBER 31, 2010, IN AN AMOUNT NOT TO EXCEED $432,000; AND 3) AUTHORIZING THE CHIEF OF THE HEALTH SYSTEM OR DESIGNEE TO EXECUTE CONTRACT AMENDMENTS WHICH MODIFY THE COUNTY’S MAXIMUM FISCAL OBLIGATION BY NO MORE THAN $25,000 (IN AGGREGATE), AND/OR MODIFY THE CONTRACT TERM AND/OR SERVICES SO LONG AS THE MODIFIED TERM OR SERVICES IS/ARE WITHIN THE CURRENT OR REVISED FISCAL PROVISIONS

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, Ordinance Code Section 2.83.170 authorizes the Board of Supervisors to waive the Request for Proposals process in any situation where the Board determines that the best interest of the County is served without the necessity of formal proposals; and

WHEREAS, a Request for Proposals (RFP) was recently issued for the provision of anatomic pathology slide preparation and histology services; and

WHEREAS, no viable providers were identified as a result of the RFP; and

WHEREAS, the Laboratory Director at San Mateo Medical Center was able to locate and negotiate an agreement with Histo-Tec Laboratory to provide the necessary services; and

WHEREAS, the Blue Ribbon Task Force is negotiating with several hospitals and providers to provide various services, including the type provided by Histo-Tec; and

WHEREAS, it is necessary to have uninterrupted laboratory services until the Blue Ribbon Task Force has completed its negotiations and recommended agreements for services; and

WHEREAS, there has been presented to this Board of Supervisors for its consideration and acceptance an Agreement, reference to which is hereby made for further particulars, whereby Histo-Tec Laboratory shall provide anatomic pathology slide preparation and histology services for surgical and biopsy procedures performed at San Mateo Medical Center; and

WHEREAS, the Board has considered the Agreement and approved it as to both form and content and desires to enter into it.

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of the Board of Supervisors be and is hereby authorized and directed to waive the RFP process and to execute said Agreement for and on behalf of the County of San Mateo, and the Clerk of this board shall attest the President’s signature thereto.

IT IS HEREBY FURTHER RESOLVED that the Chief of the Health System or designee shall be authorized to execute contract amendments which modify the County’s maximum fiscal obligation by no more than $25,000 (in aggregate), and/or modify the contract term and/or services so long as the modified term or services is/are within the current or revised fiscal provisions.
