RESOLUTION AUTHORIZING THE PRESIDENT OF THE BOARD TO EXECUTE A SECOND AMENDMENT WITH WEBMEDX, INC. FOR MEDICAL TRANSCRIPTION SERVICES, EXTENDING THE EXISTING TERM BY ONE YEAR, THROUGH APRIL 30, 2010, AND INCREASING THE FUNDING BY $1,345,000, FROM $4,030,000 TO A NEW MAXIMUM FISCAL OBLIGATION OF $5,375,000

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

 

WHEREAS, on May 2, 2006, by Resolution No. 067962 this Board approved an Agreement with Webmedx, Inc. (Webmedx) for medical transcription services at San Mateo Medical Center (SMMC); and

 

WHEREAS, on January 23, 2007, by Resolution No. 068514 this Board approved an amendment to install an Electronic Signature Authentication System as a cost and time saving component of the transcription service at SMMC; and

 

WHEREAS, SMMC will implement an Ambulatory Electronic Medical Record (AEMR) system which will allow for direct entry of patient information by patient care providers and will require a one-year transition; and

 

WHEREAS, a transition period is necessary to allow for determination of actual volume reductions and preparation and publication of a Request for Proposals; and

 

WHEREAS, there has been presented to this Board for its consideration and approval a second Amendment to the existing Agreement between Webmedx and the County of San Mateo, reference to which is hereby made for further particulars, whereby the term of the existing Agreement will be extended by one year, through April 30, 2010, and the maximum amount payable shall be increased by $1,345,000, from $4,030,000 to a new maximum fiscal obligation of $5,375,000; and

WHEREAS, this Board has considered the Amendment to the Agreement and approved it as to both form and content and desires to enter into it.

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of this Board of Supervisors be and is hereby authorized and directed to execute said Amendment No. 2 to the Agreement for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President’s signature thereto.
