SECOND AMENDMENT TO THE AGREEMENT

YOUTH AND FAMILY ENRICHMENT SERVICES

THIS SECOND AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________, 20_____, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and YOUTH AND FAMILY ENRICHMENT SERVICES, hereinafter called "Contractor";

W I T N E S S E T H:

WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;

WHEREAS, the parties entered into an Agreement for community-based prevention services, Your House Residential, Daybreak and Crisis Intervention services by Resolution Number 069098 in the amount of $1,042,537 and term of July 1, 2007 through June 30, 2009; and

WHEREAS, the parties amended the Agreement on December 16, 2008 by Resolution Number 069845 to increase funding for Case Management Services for the Emancipated Foster Youth Outreach and Aftercare Program in the amount of $163,922 for FY 2008-09, for a total obligation of $1,206,459; and

WHEREAS, the parties wish to further amend the Agreement to extend the term by one (1) year to June 30, 2010 and increase funding for continued community-based prevention service, Your House Residential, Daybreak and Crisis Intervention services in the amount of $1,047,431 for FY 2009-10, for a total obligation of $2,253,890.

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

Section 2: Services to be performed by Contractor is hereby amended to read as follows:

In consideration of the payments set forth herein and in Exhibit “B2”, Contractor shall perform services for County in accordance with the terms, conditions and specifications set forth herein and in Exhibit “A2”, and pursuant to the performance standards set forth in Exhibit “C2”.

Section 3: Payments is hereby amended to read as follows:

In consideration of the services provided by Contractor in accordance with all terms, conditions and specifications set forth herein and in Exhibit A2," and pursuant to the performance standards set forth in Exhibit “C2”, County shall make payments to Contractor based on the rate and in the manner specified in Exhibit "B2." The County reserves the right to withhold payment if the County determines that the quantity or quality of the work performed is unacceptable. The Agreement is increased by $1,047,431 for FY 2009-10 for continued services shown in Exhibit “A2”. In no event shall the County’s total fiscal obligation under the Agreement exceed TWO MILLION TWO HUNDRED FIFTY THREE THOUSAND EIGHT HUNDRED NINETY DOLLARS ($2,253,890).

Exhibit A1 is replaced in its entirety with Exhibit A2 effective 07/09 which is attached hereto and incorporated by reference herein.

Exhibit B1 is replaced in its entirety with Exhibit B2 effective 07/09 which is attached hereto and incorporated by reference herein.

Exhibit C1 replaced in its entirety with Exhibit C2 effective 07/09 which is attached hereto and incorporated by reference herein.

All other terms and conditions of the Agreement dated July 1, 2007, and subsequent Amendments between the County and Contractor shall remain in full force and effect.
