THIRD AMENDMENT TO AGREEMENT
BETWEEN THE COUNTY OF SAN MATEO AND
PACIFIC RIM BUILDING SERVICES
|

THIS THIRD AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________, 20_____, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and PACIFIC RIM BUILDING SERVICES, hereinafter called "Contractor";

|
W I T N E S S E T H:
|
|
|
WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;
|
|
|
WHEREAS, the parties entered into an Agreement for janitorial services, five days per week, at the Fair Oaks Adult Clinic, the Fair Oaks Children’s Clinic, the Methadone Cline and the Sequoia Teen Wellness Center on July 10, 2007; and
|
|
|
WHEREAS, the parties amended the Agreement to provide the same janitorial and maintenance services at the Willow Clinic on December 27, 2007; and
|
|
|
WHEREAS, on July 8, 2008, the parties again amended the Agreement to include janitorial services at the South San Francisco Clinic, increased the amount and extended the term of the Agreement to April 14, 2010; and
|
|
|
WHEREAS, the parties wish to further amend the Agreement to include janitorial and maintenance services at the new Fair Oaks Children’s Clinic and to enhance services offered at Willow and South San Francisco Clinics, increasing the amount by $120,000 for a new maximum amount payable of $375,010.

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

Section 3 of the Agreement is amended in its entirety to read as follows:
3. Payments
In consideration of the services provided by Contractor in accordance with all terms, conditions and specifications set forth herein and in Exhibit “A”, County shall make payment to Contractor based on the rates and in the manner specified in Exhibit “B.” The County reserves the right to withhold payment if the County determines that the quantity or quality of the work performed is unacceptable. In no event shall the County’s total fiscal obligation under this Agreement exceed THREE HUNDRED SEVENTY-FIVE THOUSAND TEN DOLLARS ($375,010).

Original Exhibits “A” and “B” are replaced in their entirety with the Exhibits “A” and “B” attached hereto, which are incorporated herein by reference.

All other terms and conditions of the agreement dated July 10, 2007, between the County and Contractor, as amended on December 27, 2007, and July 8, 2008, shall remain in full force and effect.
