AGREEMENT BETWEEN THE COUNTY OF SAN MATEO AND
THE LA HONDA FIRE BRIGADE, INC.
REGARDING PURCHASE OF REPLACEMENT EMERGENCY RESCUE VEHICLE
This Agreement is entered into this ______ day of _________, 2009, by and between the County of San Mateo (“County”) and the La Honda Fire Brigade, Inc. (“Brigade”) as follows:
RECITALS
A. The Brigade is a volunteer fire department that is a 501(c)(3) non profit corporation, which is included within the San Mateo County Fire Protection System, through which it receives support and assistance from the County for the provision of rescue and fire protection services in the La Honda area.
B. The Brigade has identified a need to purchase a new replacement emergency rescue vehicle to support emergency rescue services in their area and to serve as a mutual aid first responder in La Honda and other areas of the County.
C. The County, through the California Department of Forestry and Fire Protection, which serves as a fire protection and rescue services provider through a cooperative agreement with the County, is willing to assist with and contribute a portion of the funds necessary for the purchase a new rescue vehicle.
D. Additional funds for the purchase of a new rescue vehicle will be provided by the Mid-Peninsula Open Space District and a grant from the State of California Office of Traffic Safety.
E. The existing Memorandum of Understanding between the County and the La Honda and Kings Mountain Fire Brigades, dated July 22, 2008, which remains in effect in its entirety, provides that the Brigade and County may jointly augment existing apparatus and equipment used by the Volunteer Fire Department including the Brigade.
NOW THEREFORE, in consideration of the mutual promises set forth in this Agreement, the parties agree as follows:
1. The County shall assist and participate in the acquisition of a new emergency rescue vehicle (“rescue vehicle”) upon the terms specified herein.
2. The Brigade shall identify for the County the specific rescue vehicle that it desire be purchased. The County shall review and consider the identified vehicle, and if the County approves of the purchase of said rescue vehicle, said rescue vehicle shall be acquired by County using County’s standard purchasing procedures through the County’s purchasing agent.
3. It is estimated that the rescue vehicle will cost $174,774. The County will contribute an amount not to exceed $43,622 toward purchase of the rescue vehicle. Pursuant to separate agreements to contribute funds for the purchase of the rescue vehicle, additional funding for the purchase of the vehicle shall come from a grant of $37,500 from the California Office of Traffic Safety and a contribution of $50,000 from the Mid-Peninsula Open Space District. Except as otherwise specified herein, prior to the purchase of the rescue vehicle, Brigade shall provide County with any additional funds required to purchase the rescue vehicle.
4. In addition to its contribution amount specified in paragraph 3 above, the County agrees to advance an additional amount of $18,622 toward the purchase price of the rescue vehicle. Brigade shall reimburse County for such additional contribution by paying County seven equal installments of $2,661 each, on June 1 of each year over a seven year period beginning June 1, 2010. Brigade agrees to make timely annual payments to County until the full amount is paid. Each payment shall be paid by check made payable to the County of San Mateo and delivered to the County at the County Manager’s Office, 400 County Center, 1st Floor, Redwood City, CA 94063 or at such other place as the County may from time to time designate in writing.
5. Title and registration of the rescue vehicle shall be solely in the name of the County until such time as the funds specified in paragraph 4 are paid in full to County. Upon payment of such funds in full to the County, the County shall cause ownership and registration of the vehicle to be made joint between County and Brigade, with County’s name first appearing.
6. The rescue vehicle shall be enrolled in the County’s insurance program until such time as it is removed from service, and shall be maintained by the County as part of the cooperative maintenance program established by the County and participating volunteer fire departments.
7. The rights and obligations of the Brigade as set forth in this Agreement may not be assigned to a successor person, entity or organization without the written consent of the County.
