SUBJECT:

Agreement with Cornerstone OnDemand, Inc.

 

RECOMMENDATION:

Adopt a Resolution:

    A) Authorizing the President of the Board to waive the Request for Proposal process and execute a three-year agreement for the term of October 31, 2009 through October 30, 2012, with two additional one-year renewal options at the County’s sole discretion, with Cornerstone OnDemand, Inc., to provide and support a Countywide Learning Management System and related services, in the amount not to exceed $1,027,730.00; and

    B) Authorizing the Human Resources Director or the Director's designee to execute amendments to the agreement which modify the County's maximum fiscal obligation by no more than $25,000 (in aggregate), and/or modify the agreement term and/or services so long as the modified term or services is/are within the current or revised fiscal provisions.

 

BACKGROUND:

On October 24, 2006, your Board approved an agreement with Cornerstone OnDemand, Inc. (Cornerstone) to provide a Countywide Learning Management System (LMS) for a period of three years pursuant to a Request for Proposal (RFP). The current agreement expires on October 31, 2009.

The LMS has provided the County with many capabilities and benefits which include: Ability to create, deliver, track and report on classroom training as well as countywide and department-specific online courses; Ability for all employees to sign up for classes online anytime and anywhere; Tracking and reporting on employee training participation for compliance, audit, accreditation and/or legal purposes.

 
 
 

DISCUSSION:

Over the past three years, the Human Resources Department and the Information Services Department have worked closely with all departments implementing the various modules of the LMS to provide a consistent, countywide system that includes Online Registrations, Performance Management, Reporting and Analytics, Certification, and Knowledge Bank. All departments have committed to utilizing this system to meet their training and compliance needs.

The County is exploring partnership opportunities with cities to establish a training consortium to leverage training and development resources during these difficult economic times. Our current LMS has the ability to allow our community partners to use our system through an extended enterprise capability.

The Contractor has assured compliance with the County’s Contractor Employee Jury Service Ordinance, as well as all other agreement provisions that are required by County ordinance and administrative memoranda, including but not limited to insurance, hold harmless, non-discrimination and equal benefits. County Counsel has reviewed and approved the Resolution and Agreement as to form. Risk Management has reviewed the Contractor’s insurance certificate to ensure requirements are met.

Cornerstone was initially selected through an RFP process and the services provided and costs remain competitive. The contractor has committed to waive certain costs, including implementation costs for the Performance and Certification modules, which amounts to approximately $30,000+ worth of services. Based on the vendor past performance as well as the financial incentives they are offering, we believe it is in the County’s best interests for the Board waive the RFP process.

Approval for this Agreement contributes to Shared Vision 2025 outcome of Collaborative Community by providing employees tools and the opportunities to develop their skills in order to enhance organizational effectiveness.

FISCAL IMPACT:

Costs associated with the three-year agreement will not exceed $636,900, plus $195,415.00 if the County exercises its fourth year option, and $195,415.00 if the County exercises its fifth year option for a maximum aggregate amount of $1,027,730.00. Appropriations are included in the Human Resources Department’s budget and will be offset by user-departments. There is no impact to Net County Cost.
