AMENDMENT TO AGREEMENT

BETWEEN THE COUNTY OF SAN MATEO AND
FULL CAPACITY MARKETING, INC.

 

THIS AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________, 20_____, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and Full Capacity Marketing, Inc., hereinafter called "Contractor";

 

W I T N E S S E T H:

 

WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;

 

WHEREAS, the parties entered into an Agreement No. 73200-10-C117 on September 24, 2009 for providing social marketing services in the amount of $74,000 for the term of September 24, 2009 to September 30, 2010; and

 

WHEREAS, the parties entered into Amendment No. 1 on November 3, 2009 for increasing the amount by $25,800 to a total amount of $99,800, the term remains the same; and

 

WHEREAS, the parties wish to amend the Agreement to increase the amount by $115,000 to a total amount of $214,800, the term remains the same.

 

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

Section 3: Payments is hereby amended to read as follows:

In consideration of the services rendered in accordance with all terms, conditions and specifications set forth herein and any Exhibit(s) or attachment(s) attached hereto, County shall make payment to Contractor in the manner specified herein and in Exhibit "A" and Exhibit “B”. In the event that the County makes any advance payments, Contractor agrees to refund any amounts in excess of the amount owed by the County at the time of contract termination. The County reserves the right to withhold payment if the County determines that the quantity or quality of the work performed is unacceptable. The amount of the Agreement is increased by $75,000 for American Recovery and Reinvestment Act (AARA) projects under Accreditation and Quality Improvement and Public Information Officer and $40,000 for AARA projects under Workforce Investment for a total increase of $115,000. In no event shall total payment for services under this Agreement exceed TWO HUNDRED FOURTEEN THOUSAND AND EIGHT HUNDRED DOLLARS, ($214,800).

All other terms and conditions of the agreement dated September 24, 2009, between the County and Contractor shall remain in full force and effect.
