BOARD OF SUPERVISORS, COUNTY OF SAN MATEO, STATE OF CALIFORNIA

RESOLUTION AUTHORIZING A) WAIVING THE REQUEST FOR PROPOSAL PROCESS; AND B) THE PRESIDENT OF THE BOARD TO EXECUTE AN AGREEMENT WITH NORTHWOODS CONSULTING PARTNERS, INC. FOR THE PROVISION OF DOCUMENT IMAGING SERVICES FOR THE TERM OF APRIL 1, 2010 THROUGH JUNE 30, 2011, IN THE AMOUNT OF $1,253,318. THERE IS NO NET COUNTY COST; AND C) THE DIRECTOR OF THE HUMAN SERVICES AGENCY OR THE DIRECTOR’S DESIGNEE TO EXECUTE CONTRACT AMENDMENTS WHICH MODIFY THE COUNTY’S MAXIMUM FISCAL OBLIGATION BY NO MORE THAN $25,000 (IN AGGREGATE), AND/OR MODIFY THE CONTRACT TERM AND/OR SERVICES SO LONG AS THE MODIFIED TERM OR SERVICES IS/ARE WITHIN THE CURRENT OR REVISED FISCAL PROVISIONS

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, in August 2008, Northwoods Consulting Partners, Inc. was chosen through a Request for Proposal (RFP) to redesign and implement a content management solution for the Medi-Cal Program; and

WHEREAS, the Agreement with Northwoods Consulting Partners, Inc. expired on December 30, 2009 while system improvements were being negotiated; and

WHEREAS, it is essential to contract with Northwoods Consulting Partners, Inc. to provide an automation foundation for improving business process efficiencies such as resolving document imaging challenges, eliminating the potential for lost or misplaced documents, allowing for documents to be immediately available to others and to allow for maintenance and updates to the document management system; and

WHEREAS, the Human Services Agency wishes to contract with Northwoods Consulting Partners, Inc. in the amount of $1,253,318 for the term of April 1, 2010 to June 30, 2011 for the system improvements and maintenance; and

WHEREAS, it is in the best interest of the County to waive the RFP Process as the document management system uses proprietary software of Northwoods Consulting Partners, Inc. and it would be costly to redesign a new system with another provider; and

WHEREAS, this Board has been presented with a form of such Agreement and has examined and approved it as to both form and content and desires to enter into the same.

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that:

A) The Request for Proposal (RFP) Process is waived;

B) The President of this Board of Supervisors is hereby authorized and directed to execute said Agreement for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President’s signature thereto; and

C) The Director of Human Services Agency or the Director’s Designee is authorized to execute contract amendments which modify the County’s maximum fiscal obligation by no more than $25,000 (in aggregate), and/or modify the contract term and/or services so long as the modified term or services is/are within the current or revised fiscal provisions.
