RESOLUTION AUTHORIZING THE:

A.

PRESIDENT OF THE BOARD TO EXECUTE AN AGREEMENT WITH MOTOROLA, INC. FOR THE DESIGN, BUILD AND INTEGRATION OF A P25/700 MHZ RADIO SYSTEM FOR THE TERM APRIL 28, 2010 THROUGH APRIL 27, 2013 WITH THE OPTION TO EXTEND THE AGREEMENT BY TWO ADDITIONAL ONE-YEAR TERMS, IN AN AMOUNT NOT TO EXCEED FOUR MILLION FIVE HUNDRED FORTY FOUR THOUSAND NINE HUNDRED SIX DOLLARS AND NO CENTS ($4,544,906);

B.

PRESIDENT OF THE BOARD TO EXECUTE A MASTER PURCHASE AGREEMENT THAT PERMITS PARTNER AGENCIES TO PURCHASE SERVICES, HARDWARE AND SOFTWARE BASED ON THE COUNTY’S NEGOTIATED PRICING;

C.

SHERIFF OR SHERIFF’S DESIGNEE TO EXECUTE AMENDMENTS OR MODIFICATIONS TO THE TERMS, SCOPE AND CONDITIONS UP TO THE STANDARD CONTRACT AMOUNT, SO LONG AS THE MODIFIED TERM OR SERVICE(S) IS/ARE WITHIN THE CURRENT OR REVISED FISCAL PROVISIONS; AND

D.

COUNTY PURCHASING AGENT TO ISSUE PURCHASE ORDERS TO MOTOROLA, INC. TO PROVIDE PROPRIETARY SOFTWARE LICENSES AND MAINTENANCE, HARDWARE MAINTENANCE, AND SUPPORT, TO BE INVOICED SEPARATELY AND NOT SUBJECT TO THE AGREEMENT’S NOT-TO-EXCEED AMOUNT.

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, in an effort to improve Public Safety communications and enhance regional interoperability, the County issued Request for Proposals (RFP) ISD1801, for the design, build and integration of a P25/700 MHz Radio System, in September 2009; and

WHEREAS, there has been presented to this Board of Supervisors for its consideration and acceptance an Agreement with Motorola, Inc. for the design, build and integration of a P25/700 MHz Radio System; and

WHEREAS, both parties now wish to enter into an Agreement, to provide the design, build and integration of the P25/700 MHz Radio System, for the period commencing April 28, 2010 through April 27, 2013, with the option to extend the Agreement by two additional one-year terms, and for an amount not to exceed $4,544,906; and

WHEREAS, both parties now wish to enter into a Master Purchase Agreement that permits partner agencies to purchase services, hardware and software based on the County’s negotiated pricing; and

WHEREAS, this Board has been requested to authorize the County Purchasing Agent to issue Purchase Orders to Motorola, Inc. to provide proprietary software licenses and maintenance, hardware maintenance and support; and

WHEREAS, this Board has been presented with a form of such Agreement, has examined and approved same as to both form and content, and desires to enter into same;

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the:

A.

President of the Board of Supervisors is hereby authorized to execute an Agreement with Motorola, Inc. to provide the design, build and integration of a P25/700 MHz Radio System, for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President’s signature thereto;

B.

President of the Board of Supervisors is hereby authorized to execute a Master Purchase Agreement that permits partner agencies to purchase services, hardware and software based on the County’s negotiated pricing, and the Clerk of this Board shall attest the President’s signature thereto;

C.

Sheriff or Sheriff’s designee is hereby authorized to execute amendments or modifications to the terms, scope and conditions up to the standard contract amount, so long as the modified term or service(s) is/are within the current or revised fiscal provisions; and

D.

Purchasing Agent is hereby authorized to issue Purchase Orders for the purchase of proprietary software licenses and maintenance, hardware maintenance and support.
