BOARD OF SUPERVISORS, COUNTY OF SAN MATEO, STATE OF CALIFORNIA

RESOLUTION: 1) AUTHORIZING THE PRESIDENT OF THE BOARD TO EXECUTE AN AGREEMENT WITH VIALANGUAGE, INC. FOR DOCUMENT TRANSLATION SERVICES FOR THE TERM JULY 1, 2010 THROUGH JUNE 30, 2013, FOR A MAXIMUM OBLIGATION OF $150,000; AND 2) AUTHORIZING THE HEALTH SYSTEM CHIEF OR DESIGNEE TO EXECUTE CONTRACT AMENDMENTS WHICH MODIFY THE COUNTY'S MAXIMUM FISCAL OBLIGATION BY NO MORE THAN $25,000 (IN AGGREGATE), AND/OR MODIFY THE CONTRACT TERM AND/OR SERVICES SO LONG AS THE MODIFIED TERM OR SERVICES IS/ARE WITHIN THE CURRENT OR REVISED FISCAL PROVISIONS.

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to, or for County, or any Department thereof; and

WHEREAS, in May 2004 under direction of the San Mateo County Board of Supervisors, the Health System and the community convened the first Healthy Communities Summit to focus on health disparities; and

WHEREAS, in October 2006 San Mateo County’s Board of Supervisors accepted the “Linguistic Access Study: Summary of Findings and Recommendations Report”; and

WHEREAS, in July 2008 the Health System adopted two policies on linguistic access to health services, resulting in increased use of interpretation and translation services; and

WHEREAS, in January 2010 Health Policy and Planning released a Request for Proposals for all qualified contractors to provide interpretation and translation services; and of the ten of proposals received, viaLanguage was one of two contractors selected to provide the entire Health System interpretation and translation services; and

WHEREAS, both parties wish to enter into an Agreement effective July 1,2010 through June 30, 2013, for a maximum obligation of $150,000; and

WHEREAS, this Board of Supervisors has been presented with the Agreement and has approved it as to both form and content and desires to enter into the Agreement.

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of this Board of Supervisors be and is hereby authorized and directed to execute said Agreement for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President's signatures thereto.

BE IT FURTHER RESOLVED that the Chief of the Health System or designee is authorized to execute contract amendments which modify the County's maximum fiscal obligation by no more than $25,000 (in aggregate), and/or modify the contract term and/or services so long as the modified term or services is/are within the current or revised fiscal provisions.
