AGREEMENT TO THE AGREEMENT BETWEEN THE COUNTY OF SAN MATEO AND YOUTH AND FAMILY ENRICHMENT SERVICES

THIS AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________ , 20_____, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and YOUTH AND FAMILY ENRICHMENT SERVICES (YFES), hereinafter called "Contractor";

W I T N E S S E T H:

WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;

WHEREAS, it is necessary and desirable that Contractor be retained for the purpose of providing mental health and substance abuse treatment services to youth committed to Margaret J. Kemp Camp (Camp Kemp) and who may be residing at Camp Kemp or temporarily residing at San Mateo County’s Juvenile Hall.

WHEREAS, on December 15, 2009, the Board of Supervisors approved an Agreement, Resolution Number 70579 in the amount of $250,000 for the term July 1, 2009 through June 30, 2010 , wherein YFES agreed to provide mental health and substance abuse treatment services; and

WHEREAS, the parties wish to enter into an Amendment to reduce the contract amount by 15%, $212,500 due to State budget reduction for FY 2009-10; the term remains the same; and

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

1.	Paragraph 3 (“Payments”) is hereby amended and restated in its entirety as follows:
In consideration of the services provided by Contractor in accordance with all terms, conditions and specifications set forth herein and in Exhibit "A," County shall make payment to Contractor based on the rates and in the manner specified in Exhibit "B." The County reserves the right to withhold payment if the County determines that the quantity or quality of the work performed is unacceptable. In no event shall the County’s total fiscal obligation under this Agreement exceed TWO HUNDRED TWELVE THOUSAND FIVE HUNDRED DOLLARS, ($212,500).

2.	Original Exhibit A will be replaced with Revised Exhibit A1, (rev. 4/20/10)


3.	Original Exhibit B will be replaced with Revised Exhibit B1, (rev. 4/20/10)

4.	All other terms and conditions of the Agreement dated December 15, 2009 shall remain in full force and effect.
