AMENDMENT NO. 2 TO AGREEMENT

BETWEEN THE COUNTY OF SAN MATEO AND
LANGUAGE LINE SERVICES, INC.

THIS AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________, 20_____, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and LANGUAGE LINE SERVICES, INC., hereinafter called "Contractor";

W I T N E S S E T H:

WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;

WHEREAS, the parties entered into an Agreement for the provision of interpretation services to San Mateo Medical Center on March 27, 2008; and

WHEREAS, on June 16, 2009, the Board of Supervisors approved an Amendment to the Agreement to increase the funding by $80,000, for a new maximum amount of $140,000; and

WHEREAS, the parties wish to further amend the Agreement to increase the funding by $40,000, for a new maximum amount of $180,000.

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

Paragraph B of Section II (Amount and Method of Payment) of Exhibit A to the Agreement is amended to read as follows:

The term of this Agreement is December 1, 2007, through December 31, 2010. Maximum payment for services rendered under this Agreement will not exceed ONE HUNDRED EIGHTY THOUSAND DOLLARS ($180,000). Invoices will be approved by the Manager, Interpreter Program, and paid within 30 days of receipt of invoice.

All other terms and conditions of the Agreement dated March 27, 2008, as amended, between the County and Contractor shall remain in full force and effect.
