RESOLUTION A) WAIVING THE REQUEST FOR PROPOSALS PROCESS AND AUTHORIZING THE PRESIDENT OF THE BOARD TO EXECUTE AN AGREEMENT WITH INFERMED, LTD. TO PROVIDE SOFTWARE AND SUPPORT FOR A SMART REFERRAL SYSTEM TO INTEGRATE WITH THE ELECTRONIC MEDICAL RECORD SYSTEM AT SAN MATEO MEDICAL CENTER FOR THE TERM OCTOBER 1, 2010 THROUGH SEPTEMBER 30, 2013, FOR A MAXIMUM OBLIGATION OF $169,980; AND B) AUTHORIZING THE CHIEF OF THE HEALTH SYSTEM OR DESIGNEE TO EXECUTE CONTRACT AMENDMENTS WHICH MODIFY COUNTY’S MAXIMUM FISCAL OBLIGATION BY NO MORE THAN $25,000 (IN AGGREGATE), AND/OR MODIFY THE CONTRACT TERM AND/OR SERVICES SO LONG AS THE MODIFIED TERM OR SERVICVES IS/ARE WITHIN THE CURRENT OR REVISED FISCAL PROVISIONS
RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that
WHEREAS, San Mateo Medical Center (SMMC) has an Ambulatory Electronic Medical Record System (AEMR) that was developed by eClinicalWorks (eCW) which requires an upgrade to the referral module; and
WHEREAS, InferMed, Ltd. (InferMed) has a software platform (Arezzo) that is a web-based system for managing urgent referrals from primary to specialty care and is easily customizable to reflect variations in referral criteria and data gathering requirements; and
WHEREAS, eCW has agreed to collaborate with InferMed to upgrade the AEMR system; and
WHEREAS, Ordinance Code Section 2.83.170 authorizes the Board of Supervisors to waive the Request for Proposals (RFP) process in any situation where the Board of Supervisors determines that the best interest of the County could be served without the necessity of proposals; and
WHEREAS, this Board has determined that it is in the best interest of the County waive the RFP process in order to utilize InferMed’s expertise in relation to SMMC’s existing eCW AEMR platform; and
WHEREAS, there has been presented to this Board for its consideration and acceptance an Agreement, reference to which is hereby made for further particulars, whereby InferMed shall provide software and support for a Smart Referral System that will integrate with the AEMR for the term of October 1, 2010 through September 30, 2013, for the maximum obligation of $169,980; and
WHEREAS, this Board has been presented with the Agreement and has examined and approved it as to both form and content and desires to enter into the Agreement.
NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the County requirements for the Request for Proposals process for said Agreement is hereby waived.
BE IT FURTHER RESOLVED that the President of the Board is hereby authorized and directed to execute said Agreement for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President’s signature thereto.
BE IT FURTHER RESOLVED that the Chief of the Health System or designee is authorized to execute contract amendments which modify the County’s maximum fiscal obligation by no more than $25,000 (in aggregate), and/or modify the contract term and/or services so long as the modified term or services is/are within the current or revised fiscal provisions.
