RESOLUTION: A) AUTHORIZING THE PRESIDENT OF THE BOARD TO EXECUTE AN AGREEMENT WITH MEDASSETS SUPPLY CHAIN SYSTEMS, LLC, FOR THE PURPOSE OF PROVIDING A GROUP PURCHASING PROGRAM FOR THE COUNTY OF SAN MATEO FOR THE TERM JANUARY 1, 2011 THROUGH DECEMBER 31, 2015, WITH TWO ONE-YEAR EXTENSIONS, AT NO COST TO THE COUNTY OF SAN MATEO; B) AUTHORIZING THE PURCHASING AGENT TO ENTER INTO PURCHASE ORDERS, VENDOR AGREEMENTS, LEASE-PURCHASE AGREEMENTS, LEASE AGREEMENTS, RENTAL AND SERVICE AGREEMENTS FOR THE COUNTY OF SAN MATEO FOR SUPPLIES, SERVICES AND EQUIPMENT WITH VENDORS THROUGH MEDASSETS SUPPLY CHAIN SYSTEMS, LLC; AND C) WAIVING THE BID PROCESS AND REQUEST FOR PROPOSALS PROCESS FOR ALL PURPOSES FOR FUTURE GOODS/SERVICES PROVIDED UNDER THE GROUP PURCHASE AGREEMENT WITH MEDASSETS SUPPLY CHAIN SYSTEMS, LLC.

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, In July 2010 San Mateo Medical Center (SMMC) conducted a Request for Proposals (RFP) process for a Group Purchasing Organization (GPO); and

WHEREAS, after doing a comparison of market basket pricing and evaluation of the overall GPO contract, MedAssets Supply Chain Systems, LLC (MedAssets) was selected; and

WHEREAS, both parties now wish to enter into an Agreement to provide a GPO program for the County of San Mateo for the period of January 1, 2011 through December 31, 2015, with two one-year extensions, at no cost to the County of San Mateo; and

WHEREAS, a waiver of the Bid Process and the RFP Process for all purposes for future goods/services provided under the GPO agreement with MedAssets is requested and would benefit the County by securing competitive rates for such goods/services for the County; and

WHEREAS, this Board has examined the Agreement and has approved it as to both form and content and wishes to waive the Bid Process and RFP Process for goods and services provided under the GPO agreement.

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of this Board of Supervisors be and is hereby authorized and directed to execute said Agreement for and on behalf of the County of San Mateo, and the Clerk of the Board shall attest the President’s signature thereto.

BE IT FURTHER RESOLVED that the Purchasing Agent is authorized to enter into Purchase Orders, Vendor Agreements, Lease-Purchase Agreements, Lease Agreements, and Rental and Service Agreements for the County of San Mateo for supplies, services and equipment with vendors through MedAssets.

BE IT FURTHER RESOLVED that the Bid Process and Request for Proposals Process is waived for all purposes for future goods/services provided under the Agreement with MedAssets for the term of the Agreement.
