RESOLUTION AUTHORIZING THE A) PRESIDENT OF THE BOARD TO EXECUTE AMENDMENT NO. 2 TO THE AGREEMENT WITH MOTOROLA, INC. FOR THE DESIGN, BUILD AND INTEGRATION OF A P25/700 MHZ RADIO SYSTEM, INCREASING THE AMOUNT OF THE CONTRACT BY $14,735,094, FROM $5,264,906 TO $20,000,000; AND B) SHERIFF OR SHERIFF’S DESIGNEE TO ACCEPT OR EXECUTE NOTICES, DOCUMENTS AND AMENDMENTS ASSOCIATED WITH THIS AGREEMENT UNDER THE TERMS SET FORTH ONLY AS FUNDING BECOMES AVAILABLE

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, on April 27, 2010, the County and Motorola, Inc. entered into an Agreement (Resolution No. 070735) for the design, build and integration of a P25/700 MHz Radio System, for the period commencing April 28, 2010, through April 27, 2013, and for an amount not to exceed $4,544,906; and;

WHEREAS, on September 14, 2010, the County and Motorola, Inc. amended said contract (Resolution No. 071044) to add an additional build-out site and to increase the not-to-exceed amount by $720,000, from $4,544,906 to $5,264,906; and

WHEREAS, both parties now wish to amend the Agreement to (1) increase the not-to-exceed amount by $14,735,094, from $5,264,906 to $20,000,000, contingent upon the availability of funding for any increase above the $5,264,906 amount and (2) authorize the Sheriff or Sheriff’s designee to accept or execute notices, documents and amendments associated with this Agreement under the terms set forth as funding becomes available; and

WHEREAS, this Board has been presented with a form of such Amendment, has examined and approved same as to both form and content, and desires to enter into the same.

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of the Board of Supervisors is hereby authorized to execute Amendment No. 2 to the Agreement with Motorola, Inc. for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President’s signature thereto.

BE IT FURTHER RESOLVED that the Sheriff or Sheriff’s designee shall be authorized to accept or execute notices, documents and amendments associated with this Agreement, including expanding the scope of the project, under the terms set forth in the Agreement and Amendments only to the extent that funding becomes available and subject to the requirements of the Agreement’s terms, as amended.
