AMENDMENT NO. 2 TO AGREEMENT

BETWEEN THE COUNTY OF SAN MATEO AND
PROVENCIO ADVISORY SERVICES, INC.

 

THIS AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________, 20_____, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and Provencio Advisory Servcies, Inc., hereinafter called "Contractor";

 

W I T N E S S E T H:

 

WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;

 

WHEREAS, the parties entered into an Agreement for the purpose of providing an Interim Reimbursement Manager services on April 13, 2010; and

 

WHEREAS, the Agreement was subsequently amended by an Amendment on January 11, 2011, to expand the scope of work to support the implementation of the independent review organization (IRO) recommendations; and

 

WHEREAS, the parties now wish to amend the Agreement by increasing the amount of the Agreement by $180,000 and extending the term of the Agreement by one year, through February 28, 2012.

 

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

   

1.

Section 3, Payments, of the Agreement is amended to read as follows:

In consideration of the services provided by Contractor in accordance with all terms, conditions and specifications set forth herein and in Exhibit A, County shall make payment to Contractor based on the rates and in the manner specified in Exhibit B. The County reserves the right to withhold payment if the County determines that the quantity or quality of the work performed is unacceptable. In no event shall the County’s total fiscal obligation under this Agreement exceed THREE HUNDRED EIGHTY THOUSAND DOLLARS [$380,000].

   

2.

The first paragraph of Section 4, Term and Termination, of the Agreement is amended to read as follows:

Subject to compliance with all terms and conditions, the term of this Agreement shall be from March 1, 2010, through February 28, 2012.

Revised Exhibit A, (rev. December 27, 2010) is replaced with Revised Exhibit A, (rev. January 19, 2011), attached hereto.

   

4.

Revised Exhibit B, (rev. December 27, 2010) is replaced with Revised Exhibit B, (rev. January 19, 2011), attached hereto.

   

5.

All other terms and conditions of the agreement dated April 13, 2010, between the County and Contractor shall remain in full force and effect.
