Revised Exhibit “B”

In consideration of the services provided by Contractor in Exhibit “A”, County shall pay Contractor based on the following fee schedule:

 

I. On-going Services

III. Special Projects

A.

For Special Projects, PAS will provide an estimate of hours and fees which will be billed at the following rates:

PAS will commit to at least 2 days per month on-site for special projects.

 

IV. All amounts shown above are not to exceed fees by area or sub area. (For example, no more than $5,700 per month will be charged for the Patient Accounts Receivable Review, and no more than $4,200 will be charged for the Quarterly Review of Reimbursement Reconciliations.)

 

V. Fees and out-of pocket expenses (travel, hotel, car rental and meals) will be billed at the end of each month. All out-of pocket expenses will be billed in accordance with SMMC policies and shall not, in any event, exceed the amounts or expense categories payable to SMMC employees traveling under comparable circumstances.

 

VI. In the event any invoice is not timely paid as set forth herein, then upon five days prior written notice to SMMC, Provencio may terminate its performance hereunder and will not be responsible for any loss, costs, or expense thereby resulting.

 

VII. The term of this Agreement is March 1, 2010, through February 28, 2012. The maximum amount payable under this agreement, including for out-of-pocket expenses, will not exceed $380,000. All invoices shall be approved by the Chief Financial Officer and paid within 30 days of receipt.
