RESOLUTION AUTHORIZING THE PRESIDENT OF THE BOARD TO EXECUTE AMENDMENT NO. 2 TO THE AGREEMENT WITH PROVENCIO ADVISORY SERVICES, INC. TO PROVIDE REIMBURSEMENT CONSULTING SERVICES BY EXTENDING THE TERM BY ONE YEAR FOR A NEW TERM OF MARCH 1, 2010 THROUGH FEBRUARY 28, 2012, AND INCREASING THE FUNDING BY $180,000 FOR A NEW MAXIMUM FISCAL OBLIGATION OF $380,000

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, Provencio Advisory Services, Inc. (Provencio) provides Reimbursement Consulting services to San Mateo Medical Center (SMMC) pursuant to an Agreement approved by this Board on April 13, 2010, as amended on January 11, 2011; and

WHEREAS, San Mateo Medical Center (SMMC) continues to have significant changes within the Finance Department; and

WHEREAS, Provencio has extensive experience in the field of healthcare consulting and finance; and

WHEREAS, the parties wish to further amend the Agreement to extend the term by one year, with a new end date of February 28, 2012, and increase the amount of the Agreement by $180,000 for a new maximum obligation of $380,000; and

WHEREAS, this Board has examined Amendment No. 2 and has approved it as to both form and content.

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of this Board of Supervisors be and is hereby authorized and directed to execute said Amendment with Provencio for and on behalf of the County of San Mateo, and the Clerk of the Board shall attest the President’s signature thereto.
