RESOLUTION AUTHORIZING THE: 1) PRESIDENT OF THE BOARD TO EXECUTE AMENDMENT NO. 5 TO THE AGREEMENT WITH ECLINICALWORKS, LLC (eCW) TO PROVIDE ADDITIONAL APPLICATIONS AND SERVICES RELATED TO THE ECLINICALWORKS AMBULATORY ELECTRONIC MEDICAL RECORD (AEMR) SYSTEM INSTALLED AT SAN MATEO MEDICAL CENTER (SMMC), WITH NO CHANGE TO THE MAXIMUM FISCAL OBLIGATION OF $2,990,000; AND 2) CHIEF INFORMATION OFFICER OR HIS DESIGNEE TO EXECUTE SUBSEQUENT AMENDMENTS TO THE AGREEMENT FOR MODIFICATIONS TO THE TERMS, SCOPE, AND CONDITIONS UP TO THE NOT TO EXCEED AMOUNT OF $2,990,000.

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, on January 8, 2008, the County of San Mateo entered into an Agreement with eClinicalWorks, LLC (eCW) to install and maintain an Ambulatory Electronic Medical Record (AEMR) system at San Mateo Medical Center (SMMC) in the amount of $1,800,000 for the term of seven (7) years, commencing upon the date of the Board of Supervisors’ approval; and

WHEREAS, on March 17, 2009, this Board approved Amendment #1 to the Agreement to provide additional licenses required for the implementation of the AEMR; and

WHEREAS, on September 22, 2009, this Board approved Amendment #2 to the Agreement to provide the County with eClinicalMessenger Services (eCWS), an automated call system, thereby increasing the contract amount by up to $490,000 for a new total maximum fiscal obligation of $2,990,000 and approved an Agreement with eClinicalWeb for eCMS hosting services for the term September 22, 2009 through January 7, 2015 (ending concurrently with the Agreement between the County and eCW); and

WHEREAS, on February 11, 2010, the Chief Information Officer approved Amendment #3 to the Agreement to clarify payment terms for Provider Support and Maintenance; and

WHEREAS, on July 7, 2010, the Chief Information Officer approved Amendment #4 to the Agreement to further clarify payment terms for SMS and e-Prescribing to include more licensure and functionality within the system; and

WHEREAS, eCW and the County of San Mateo now wish to amend the Agreement to provide additional applications and services related to the eClinicalWorks Ambulatory Electronic Medical Record (AEMR) installed at the San Mateo Medical Center; and

WHEREAS, there has been presented to this Board for its consideration and acceptance Amendment #5, and said Board has examined and approved same as to both form and content and desires to enter into the same.

NOW THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of the Board Supervisors is authorized and directed to execute said Amendment #5 to the Agreement for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President’s signature thereto.

BE IT FURTHER RESOLVED that authority is granted to the Chief Information Officer or his designee to execute subsequent amendments to the Agreement for modifications to the terms, scope, and conditions up to the not to exceed amount of $2,990,000.
