BOARD OF SUPERVISORS, COUNTY OF SAN MATEO, STATE OF CALIFORNIA

RESOLUTION AUTHORIZING THE: A) PRESIDENT OF THE BOARD TO EXECUTE AMENDMENT NO. 1 TO THE AGREEMENT WITH MEDASSETS SUPPLY CHAIN SYSTEMS, LLC, THE GROUP PURCHASING PROGRAM FOR THE COUNTY OF SAN MATEO, IN ORDER TO ADD AN AFFILIATE, THE BROADLANE GROUP, INC., TO PROVIDE ADDITIONAL PURCHASING OPTIONS TO THE COUNTY, UPDATE THE AGREEMENT’S TERMS, AND CLARIFY THE DURATION OF THE AGREEMENT’S INITIAL TERM; AND B) CHIEF OF THE HEALTH SYSTEM OR DESIGNEE TO EXECUTE CONTRACT AMENDMENTS WHICH MODIFY THE COUNTY’S MAXIMUM FISCAL OBLIGATION BY NO MORE THAN $25,000 (IN AGGREGATE) AND/OR MODIFY THE CONTRACT TERM AND/OR SERVICES SO LONG AS THE MODIFIED TERM OR SERVICES IS/ARE WITHIN THE CURRENT OR REVISED FISCAL PROVISIONS.

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

 

WHEREAS, MedAssets Supply Chain Systems, LLC (MedAssets), San Mateo County’s group-purchasing organization (GPO), has contracts with a diverse group of vendors who provide a range of commodities and services; and

 

WHEREAS, On November 16, 2010, MedAssets announced that it had completed its acquisition of The Broadlane Group, Inc., another GPO; and

 

WHEREAS, the parties wish to amend the Agreement so San Mateo County can access The Broadlane Group, Inc.’s contracts as part of the overall GPO agreement between MedAssets and the County and in order to clarify the already approved five-year term of the Agreement from February 1, 2011 through January 31, 2016; and

 

WHEREAS, this Board has examined the Amendment and has approved it as to both form and content.

 

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of this Board of Supervisors be and is hereby authorized and directed to execute said Amendment with MedAssets for and on behalf of the County of San Mateo, and the Clerk of the Board shall attest the President’s signature thereto.

 

BE IT FURTHER RESOLVED that the Chief of the Health System or designee is authorized to execute contract amendments which modify the County’s maximum fiscal obligation by no more than $25,000 (in aggregate) and/or modify the contract term and/or services so long as the modified term or services is/are within the current or revised fiscal provisions.
