AMENDMENT NO. 2 TO AGREEMENT

BETWEEN THE COUNTY OF SAN MATEO AND
PHARMERICA

THIS AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________, 20_____, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and PharMerica, hereinafter called "Contractor";

W I T N E S S E T H:

WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;

WHEREAS, the parties entered into an Agreement for provision of pharmaceutical and infusion services to residents of San Mateo Medical Center (SMMC) Long Term Care (LTC) Service, both Main Campus and Burlingame Long Term Care (BLTC), on December, 2008, and the parties subsequently amended the Agreement to extend the term by one year to June 30, 2011, and increase the amount by $479,334, for a maximum fiscal obligation of $1,438,001; and

WHEREAS, the parties wish to amend the Agreement to extend the term by six months, for a new term ending December 31, 2011.

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

Paragraph 1 of Section 4, Term and Termination, of the Agreement is amended to read as follows;

Subject to compliance with all terms and conditions, the term of this Agreement shall be from July 1, 2008 through December 31, 2011.

Original Exhibit B is replaced with Revised Exhibit B, rev. (April 11, 2011).

Revised Exhibit B is attached.

3.

All other terms and conditions of the agreement dated December 9, 2008, between the County and Contractor, as previously amended, shall remain in full force and effect.
