BOARD OF SUPERVIORS, COUNTY OF SAN MATEO, STATE OF CALIFORNIA

RESOLUTION AUTHORIZING THE:

A) PRESIDENT OF THE BOARD OF SUPERVISORS TO EXECUTE A TRANSFER AGREEMENT FOR THE ACQUISITION OF THREE PILLAR POINT BLUFF PARCELS, CONSISTING OF APPROXIMATELY 140 ACRES OF LAND IN UNINCORPORATED SAN MATEO COUNTY, FROM PENINSULA OPEN SPACE TRUST FOR $3,000,000; AND B) COUNTY MANAGER OR HIS DESIGNEE TO EXECUTE NOTICES, DOCUMENTS, AND AGREEMENTS ASSOCIATED WITH THE ACQUISITION OF THE PROPERTY, INCLUDING, WITHOUT LIMITATION, ESCROW INSTRUCTIONS AND A CERTIFICATE OF ACCEPTANCE, IN ORDER TO FACILITATE THE ACQUISITION OF THE PROPERTY AND TO MEET THE INTENT OF THIS RESOLUTION AND THE BOARD

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

 

WHEREAS, by Resolution No. 071388 adopted on May 10, 2011, this Board authorized the execution of a Grant Agreement which provides for $3,000,000 in grant funds from the Wildlife Conservation Board for the acquisition from Peninsula Open Space Trust (POST) of three Pillar Point Bluff parcels (Assessor’s Parcels 037-300-010 Gunn; 037-300-080 Pillar Point Bluff; and 047-311-070 Pillar Point Bluff South); and

 

WHEREAS, as contemplated in the Grant Agreement, a Transfer Agreement is now presented to this Board of Supervisors for its consideration and acceptance, reference to which is hereby made for further particulars, whereby the County of San Mateo shall purchase from Peninsula Open Space Trust, a California non-profit benefit corporation, in accordance with the terms and conditions contained in said agreement and for the price of $3,000,000, all of that certain real property on the Pillar Point Bluffs, comprising three parcels and consisting of approximately 140 acres of open space, and as more specifically described in the legal descriptions on file with the Clerk of the Board (the “Property”); and

 

WHEREAS, this Board has examined and approved such Transfer Agreement as to both form and content and desires to enter into same; and

 

WHEREAS, the Clerk of this Board has published once a week for three successive weeks in the San Mateo Times, in the form and manner provided by law, a Notice of Intention to purchase the Pillar Point Bluff parcels, and

 

WHEREAS, the Transfer Agreement is conditioned upon County’s receipt of the grant from the Wildlife Conservation Board; and

 

WHEREAS, this Board has determined that it is necessary and desirable to execute the Transfer Agreement on behalf of the County of San Mateo; and

 

WHEREAS, it is anticipated that notices, documents, and agreements associated with the acquisition of the Property, including, without limitation, escrow instructions and a certificate of acceptance, may be needed in order to facilitate the acquisition of the Property and to satisfy the expressed intention of this Board; and

 

WHEREAS, a Notice of Exemption under the California Environmental Quality Act (CEQA) was filed April 27, 2011 for the acquisition of the parcels; and

 

WHEREAS, closing costs and all other affiliated acquisition costs of the Property will be financed from the Mid-coast Parks Development Fund.

 

NOW THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the:

1. President of the Board of Supervisors be, and is hereby authorized and directed, for and on behalf of the County of San Mateo to execute the Transfer Agreement for the acquisition of the Property from Peninsula Open Space Trust, and the Clerk of this Board shall attest the President’s signature thereto; and

2. County Manager or his designee be, and is hereby authorized and directed to execute notices, documents and agreements associated with the acquisition of the Property, including, without limitation, escrow instructions and a certificate of acceptance, in order to facilitate the acquisition of the Property and to meet the intent of this Resolution and the Board.
