RESOLUTION AUTHORIZING THE PRESIDENT OF THE BOARD TO EXECUTE A SECOND AMENDMENT TO THE AGREEMENT WITH NORTHWOODS CONSULTING PARTNERS, INC., TO PROVIDE ADDITIONAL SOFTWARE LICENSES, MAINTENANCE AND PROGRAM REPORTING FOR THE DOCUMENT MANAGEMENT SYSTEM, EXTENDING THE TERM BY 12 MONTHS TO, APRIL 1, 2010 THROUGH JUNE 30, 2012, INCREASING THE AMOUNT BY $72,560 FOR A TOTAL OBLIGATION OF $1,641,240

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, on April 13, 2010, the Board of Supervisors adopted Resolution Number 070700 waiving the Request for Proposal (RFP) process, authorizing Northwoods Consulting Partners, Inc., to provide an automation foundation for improving business process efficiencies, and authorizing the Director of the Human Services Agency to execute subsequent amendments and minor changes in the types of services and activities provided under the Agreement; and

WHEREAS, on September 28, 2010, the Board of Supervisors adopted Resolution Number 071072 authoring an Amendment to the Agreement with Northwoods Consulting Partners, Inc., to provide additional software licenses for document management system; and

WHEREAS, the parties now wishes to further amend the Agreement with Northwoods Consulting Partners, Inc., for additional software licenses and maintenance for the document management system in the amount of $72,560, for a total obligation of $1,641,240, and extend the term by 12 months to April 1, 2010 through June 30, 2012; and

WHEREAS, this Board has been presented with a form of this Second Amendment to the Agreement and has examined and approved it as to both form and content and desires to enter into said Second Amendment.

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that:

the President of this Board of Supervisors is hereby authorized and directed to execute said Second Amendment to the Agreement for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President’s signature thereto.
